Terms of Service

1. Agreement

These Terms of Service (the “Terms”) are an agreement between you and Uniac, Inc. (“Uniac”, “we”). They govern your use of uniac.ai, the Uniac dashboard, the Uniac command-line tool, the platform API and everything you run on the platform (together, the “Service”). By creating an account or using the Service you accept these Terms and the Privacy Policy. If you use the Service on behalf of an organization, you confirm that you have authority to bind it, and “you” means that organization. You must be at least 18 years old to use the Service.

2. The Service

Uniac is a cloud platform for AI coding agents. Through the command-line tool, the API and the dashboard, an agent or a person can create cloud computing and stateful resources, build a new system or deploy an existing one, and run the resulting services, databases and workers, from distributed-system building blocks to full-stack applications and websites, on infrastructure that Uniac operates on Google Cloud. The Service is in early access: features and limits are under active development and may change or be withdrawn, and the command-line tool and the API are pre-1.0 and may change between releases without a compatibility period.

3. Accounts

You sign in through Clerk, our sign-in provider. You are responsible for keeping your sign-in method secure and for everything done under your account, including by the command-line tool and by the coding agents you let act for you; a token issued through the command-line sign-in acts as you. Tell us at [email protected] if you believe your account has been used without your permission.

4. Pricing and payment

Prices are in US dollars. The current prices are shown in the pricing section of uniac.ai.

Trial credit. Every new account receives $2 of credit at first sign-in. It can be used for 30 days and then expires.

Subscription. The subscription costs $5 per month and includes $5 of usage in each monthly cycle. Subscribing requires a card on file. The fee for the first cycle is charged when you subscribe, and each later cycle's fee is charged at the start of that cycle. Included usage belongs to the cycle it is granted in and does not carry over. You can cancel at any time from the dashboard; cancellation takes effect at the end of the paid cycle, which stays fully usable until then.

Usage. While your services run, the platform meters CPU, memory, volume storage and network egress and charges for them at the displayed rates, drawing on your credit as usage occurs. Compute is metered by the second and storage by the hour. The rates displayed when usage occurs apply to that usage.

Credit. You can buy credit in advance from the dashboard. Each purchase is charged to your default card and must be at least $0.50. You can turn on auto-reload, which buys an amount you set whenever your available credit falls below a threshold you set, up to a monthly cap you set.

Amounts owed. If your usage exceeds your available credit, the excess is owed to Uniac. It is collected with your next subscription fee and by charging your card. A declined charge is retried.

Holds and suspension. When your account has no credit to draw on, your services stop running and your data is kept; adding credit lets them run again. If an amount you owe remains unpaid after a failed charge, your account is suspended. After 30 continuous days of suspension, the account's projects are removed: services are torn down and volumes are destroyed, and they cannot be recovered. Paying what is owed before then ends the suspension.

Refunds. Subscription fees and credit purchases are not refundable, except where the law requires a refund.

5. Your content

You keep ownership of the code, images, configuration and data you place on the Service (“your content”). You grant Uniac the permission needed to store, run, transmit and display your content in order to provide the Service to you. You are responsible for your content, for having the rights to it, for the secrets and credentials you put in configuration, and for the services you expose to the public and their users.

Backups. The Service does not provide backups, snapshots or restore of volumes. Keep your own copies of anything you cannot afford to lose.

6. Acceptable use

You agree not to use the Service to:

  • break the law or infringe anyone's rights;
  • harm, harass or deceive others;
  • send spam or distribute malware;
  • access or disrupt systems you are not authorized to use, including other customers' services and the platform itself;
  • probe, overload or interfere with the platform, or circumvent metering, billing or limits.

Uniac may stop or remove services that violate these rules.

7. Deleting resources

Deleting a project destroys every volume in the project along with its services. Deleting a service keeps its volume, detached, for re-use. Deleting a volume destroys it and its data immediately; the dashboard and the API require you to confirm the volume's name first. None of these actions can be undone.

8. Availability and changes

The Service is provided without a guarantee of availability. Uniac may change, suspend or discontinue any part of the Service.

9. Suspension and termination

Uniac may suspend or terminate your access for nonpayment as described in Section 4, for a violation of these Terms, or where the law requires it. You may stop using the Service at any time and ask us to close your account by emailing [email protected]. Sections 5, 10, 11 and 12 survive termination.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, UNIAC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE, AND UNIAC'S TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNT YOU PAID UNIAC IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

12. Indemnity

You will defend and indemnify Uniac against claims, damages and expenses arising from your content, from the services you run and their users, or from your breach of these Terms.

13. Changes to these Terms

When these Terms change, the new version is posted on this page with a new “last updated” date. Using the Service after that date means you accept the new version.
